GENERAL TERMS AND CONDITIONS

The terms and conditions of Visiion (referred to as "Company," "We," "Us," or "Our"), a Company incorporated under the laws of Italy and govern the utilization of Our exchange trading platform (referred to as the "Platform") by any user (referred to as "You" or "Your") via Our VISIION Website (referred to as "Website"). This Platform enables you to engage in trading Virtual Assets and other financial Instruments, as well as access other transaction Services. These terms and conditions constitute a legally binding agreement between You and Us regarding the use of the Platform and the App. It is essential to read the Terms & Conditions alongside the Privacy Policy & Risk Disclosure. By using the Platform and downloading the App, you explicitly acknowledge and consent to these terms and conditions. However, if you do not agree with or accept these terms, you have the option to uninstall the App and discontinue using the Platform in such cases.

1. DEFINITIONS

1.1. "Services" means any service that we or any person or entity of VISIION provides to you and which you wish to avail by using Our Platform and Our Website.

1.2. "Transactions" means transactions entered with Us under the Terms and Conditions and any Trading Agreement.

1.3. "Users" means the user of the Services, including You.

1.4. "Fees" refer to transaction fees, costs and charges published on the Platform, as amended from time to time, and payable to VISIION in relation to your access to and use of the Services.

1.5. "Fiat" means the money or currency of any country or jurisdiction that is designated as legal tender and circulated, customarily used, and accepted as a medium of exchange in the country or jurisdiction of issuance.

1.6. "Wallet" means Digital asset wallets that are software tools or applications that allow Users to store, manage, and interact with their digital assets, including cryptocurrencies and tokens.

1.7. 'Parties" means the parties to the Terms, being You and VISIION, and "Party" shall mean any one of the foregoing (as the context requires).

1.8. "Applicable Laws and Regulations" means any applicable laws, bylaws, rules and regulations of any jurisdiction and any applicable order of the court of a competent jurisdiction and the same may be made, remade, modified and re-enacted from time to time.

1.9. "Virtual Assets or Currency" means any cryptographically secured digital representation of value as communicated by Us to You, via email, or by way of publication on Our Website from time to time. It shall include any digital or virtual asset/currency, coin, or Token.

1.10. "Virtual/ Digital Wallet" means a software application (or other mechanism) that provides a means for holding, storing, and transferring Virtual/ Digital Assets including virtual/ digital asset address and virtual/digital balance and cryptographic keys.

1.11. "Derivative Services" refers to a range of financial services and activities related to derivative products. Derivative products are financial instruments whose value is derived from the value of an underlying virtual/digital asset.

1.12. "Derivative Products" means an over-the counter financial contract whose value is designed to track the return on or is derived from the digital/virtual Asset.

1.13. "Pending Dues Account" shall mean the account allocated to the Client which shall reflect all the amounts due by the Client towards the Company such as Commission, interest charges, liquidation charges. The account shall be treated in accordance with the terms and conditions of the present Terms and Conditions.

2. USE OF OUR PLATFORM/ WEBSITE AND SERVICES

2.1. To gain access to our Platform and its Services, you must first complete the registration process.

2.2. Your registration on our Platform or your utilization of the Platform implies your complete comprehension of an agreement with these Terms and Conditions. Any violation of these Terms and Conditions will create a legal obligation on your part, and you will be held liable for the consequences of such breaches.

2.3. You acknowledge and consent to the fact that Our Platform reserves the right to modify these Terms and Conditions at its discretion. In the event of any alterations or amendments to these Terms and Conditions, Our Platform will publish the most recent version of the revised Terms and Conditions.

2.4. Any forthcoming announcements or notifications pertaining to your utilization of the Website or Platform will be communicated to you through electronic means, including but not limited to intra-platform notifications, messages within the Website, emails, or text messages sent to your mobile phone. These notices and announcements will be considered officially delivered to You. Should you fail to receive any such notifications or announcements, the Platform shall bear no responsibility whatsoever.

2.5. You understand that Our Website is only intended to serve as a platform for you to use the Services. You shall, at your sole discretion, carefully assess the authenticity, legality and validity of relevant Digital Assets, Financial Instruments and/or information, and solely bear the responsibilities and losses that may arise therefrom.

2.6. Any future announcements or notifications related to your usage of the Website or Platform will be transmitted to you through electronic channels, including but not limited to intra-Platform notifications, messages within the Website, emails, or text messages to your mobile phone. These notices and announcements will be considered effectively delivered to you. In the event that you do not receive or encounter any such notifications or announcements, the Platform bears no responsibility in any way.

2.7. Any opinions, information, discussion, analysis, prices and other information we display on this Platform shall not be construed as investment advice. We shall not be liable for any loss arising directly or indirectly from reliance on the above-mentioned information, including but not limited to, any loss of profits.

2.8. Unless you have an Account (as defined herein) with the Platform, you shall not use the Services intended to be provided to Users with an Account.

2.9. Further VISIION grants you the limited right to use the Derivative Services. The right to use the Derivative Services is a personal, restricted, non-exclusive, non-transferable, non- sublicensable, revocable, limited license, and it is subject to the limitations and obligations in these Terms and Conditions.

2.10. You may not use VISIION Platform or Services in the following cases:

2.10.1. wherein such use may result into to breach of any law, rule, regulation, decision of the court or any competent authority or where such use of the Platform and Services may result into unlawful and immoral conduct; wherein such use is for transmitting or procuring to send any unsolicited or unauthorized advertising, promotional material or any other communications; wherein the use of the Platform or Services is to send or knowingly receive, upload, publish, post, distribute, disseminate, transmit, use or re-use any material or information that is inaccurate, illegal, defamatory, libelous, obscene, offensive, abusive, hurtful, hateful, threatening, inflammatory, harmful, infringing, pornographic, indecent, unsolicited, unauthorized, unlawful, objectionable or which may expose you or us to any legal action or damage our reputation; wherein the use may threaten, harass, stalk, abuse, and/or violate the rights of others.

2.10.2. wherein the use of our Platform and Services is for the purpose of commercial benefiting by advertising and selling any goods or Services of other Users using our Platform and Services.

2.10.3. wherein the use of the Platform and Services is made with an intention to disrupt or damage any part of our Platform, any equipment or network on which our Platform is stored, or any software is being used in the proVisiion of our Platform and Services including the network or software owned or used by any third party.

2.10.4. wherein the use of the Platform and Services is to copy, modify reverse engineer, reverse assemble or reverse compile or store the platform or Services or any part thereof.

2.10.5. wherein the use of the Platform and Services is to create archival, derivative works based on the Platform or the Services or any portion thereof.

2.10.6. Wherein the use of the Platform and Services is to license, sublicense, transfer, sell, resell, reproduce and/ or otherwise redistribute the Platform and the Services or any components thereof.

3. TRADING ON OUR PLATFORM

3.1. ELECTRONIC TRADING

3.1.1. VISIION may, at its discretion, cease support for any listed Virtual Asset/Futures Contract at any time, including due to changes in the asset's characteristics or the underlying Virtual Asset of a Futures Contract.

3.1.2. VISIION is not responsible for transaction failures on the platform, which may result from factors like price changes, insufficient margin, or technical issues. We do not guarantee correct execution and are not liable for any losses or damages caused by transaction failures. You are responsible for investigating and determining the cause of any failed transactions initiated by you.

3.1.3. VISIION reserves the right, without prior notice, to decline trade execution, set trade amount limits, or impose restrictions at its discretion. This includes the authority to refuse, cancel, or reverse any transaction and revoke access to a user's deposit address if there are suspicions of money laundering, terrorist financing, fraud, or any other illegal activity, or if the transaction is related to a prohibited use as outlined in the Terms. VISIION may also suspend deposit and/or withdrawal activities at its discretion, and users cannot modify, withdraw, or cancel their transaction authorization, except for partially filled orders.

3.1.4. VISIION may rectify, reverse, or cancel any trade affected by a processing error, and users' recourse in case of an error is limited to requesting the cancellation of an order or convert instruction or seeking a refund of any charged amounts. VISIION cannot guarantee the possibility of cancellations or refunds in all cases.

3.1.5. Orders placed on the order book may be partially filled or filled by other users' orders on a price-time priority basis, depending on the trading activity on the order book when the order is placed.

3.1.6. Virtual assets available for purchase on the platform may exhibit varying transaction volume, liquidity, and volatility at any time, potentially for extended periods. While VISIION employs commercially reasonable methods to provide exchange rate information, the provided exchange rate information may differ from rates offered by third parties, and the actual market rate at the time of trade may differ from the indicated exchange rate. Users agree to assume all risks and potential losses associated with price fluctuations or differences between actual and indicated exchange rates.

3.2. SPOT TRADING

3.2.1. A user has the option to purchase or sell a digital asset by initiating an instruction on the VISIION Platform, which is referred to as an "Order," involving the exchange of one digital asset for another.

3.2.2. Before finalizing an Order, Users are advised to thoroughly review all transaction details. Users explicitly recognize and accept that it is their sole duty to verify the authenticity and correctness of an Order, which includes verifying the recipient's information for any assets. VISIION cannot be held responsible for any repercussions that may arise as a result of Users failing to provide valid and accurate information when initiating an Order.

3.3. COLLATERAL TRADING

3.3.1. The Virtual/ Digital Assets permitted to satisfy margin and other collateral requirements for open orders and open positions for each Derivative Product will be referred to in this Derivative Terms and Conditions as "Margin Collateral".

3.3.2. To mitigate the risks associated with providing liquidity, the User shall maintain collateral with the VISIION in their collateral account. The type and amount of collateral will be determined based on the liquidity of the collateral asset vis a vis the cryptocurrency and will be outlined on VISIION's platform.

3.3.3. The collateral's value will be assessed at regular intervals. If the value of the collateral falls below the required threshold, the User shall be required to top up the collateral to meet the stipulated requirements.

3.3.4. VISIION shall conduct periodic risk assessments to evaluate the potential risks associated with providing products and services to the User. These assessments will consider market volatility, the User's risk profile and other relevant factors.

3.3.5. In the event that the risk assessment reveals potential threats or vulnerabilities, VISIION reserves the right to adjust the terms of product offering including but not limited to, adjusting the product offerings, changing the collateral requirements, or implementing additional risk mitigation measures.

3.3.6. Margin Level Calculation and Liquidation:

  • The risk level changes according to the market movements, so if the prices move against the position secured by the User, User's assets can be liquidated. (Note that in case you are liquidated, you will be charged liquidation fees).
  • If the User's margin level reaches 50%, the User shall receive a Margin Call, which is a reminder by the VISIION that the User should either increase its collateral (by depositing more collateral assets) or settling its open positions by depositing USDT/Coin based on the direction of its trade.
  • Whereas, If the User's Margin Utilization level reaches 100%, the open position of the User will be automatically liquidated, and the P&L will be due for settlement for a period of next 24 hours.
  • If the User fails to settle P&L in the next 24 hours the VISIION reserves the right to liquidate the User's collateral assets to settle its P&L Value or Pending Dues whichever is higher. The same shall be communicated by the VISIION via email to the Users.

3.3.7. Levy of Interest

  • The User shall not be charged for the first 24 hours, where if the User is not able to settle/close the position the User shall be charged an Interest fee being calculated on 0.035% per day till the settlement/closing of the position.
  • The User shall be charged an interest for each day of delay in payment to the VISIION for the Pending Dues.
  • The User agrees and acknowledges that market spreads on the instruments are not fixed and, in some occasions, may be wider than regularly displayed due to market volatility.

3.4. DERIVATIVES TRADING

3.4.1. Derivative Product may be traded by market participants on a leveraged basis without owning a Virtual/ Digital Asset itself.

3.4.2. The Virtual/ Digital Assets permitted to satisfy margin requirements for open orders and open positions for each Derivative Product will be referred to in this Derivative Terms and Conditions as "Margin Money".

3.4.3. Before finalizing an Order, Users are advised to thoroughly review all transaction details. Users explicitly recognize and accept that it is their sole duty to verify the authenticity and correctness of an Order, which includes verifying the recipient's information for any assets. VISIION cannot be held responsible for any repercussions that may arise as a result of Users failing to provide valid and accurate information when initiating an Order.

3.4.4. Transactions on the VISIION Trading Platform require either an opening Buy or Sell action at the quoted price at the time of the Transaction. To close a Transaction, an offer to Sell (for a Buy) or Buy (for a Sell) the Instrument must be made at the quoted price at the time of closure. It is essential to note that Transactions or open Positions cannot be transferred to other Crypto CFD providers or platforms.

3.4.5. The Trading Platform provides Buy and Sell quotes for each Instrument, and Transactions are only permissible during specified Trading Hours for each Instrument. Prices for opening a Buy or closing a Sell, and vice versa, are determined by the quoted prices on the Trading Platform at the respective times.

3.4.6. You have the option to place a Market Order at the best available price on the Trading Platform at the time of the Transaction, or a Limit Order at a specific price. Prices at which Transactions are completed may vary from the initially displayed or requested rates due to market fluctuations.

3.4.7. Remember that placing an Order doesn't guarantee the execution of a Transaction at the exact terms present at the time of placing the Order. VISIION holds the right to execute the Order considering various factors, including market conditions and regulatory obligations, and may amend the content or terms of an Instrument at its discretion.

3.5. LEVERAGE AND MARGIN

3.5.1. Users agree that VISIION in its sole discretion may set the minimum initial and minimum maintenance margin requirements and the limits on leverage for each open, unexecuted order and each open position in a Derivative Product.

3.5.2. VISIION reserves the right to establish leverage, margin, and collateral requirements for your open orders and positions in Derivative Products. These requirements will be determined based on various factors, including the size of your orders and positions, market price volatility for the Derivative Product, and the reference asset.

3.5.3. Users are obligated to adhere to these leverage limits, initial and maintenance margin requirements, and other collateral requirements for each open order and position in a Derivative Product.

3.5.4. Users agree that any Margin Collateral that is committed to a particular Derivative Product may not be transferred from your Wallet or allocated to support open orders or open positions in other Derivative Products. Such Margin Collateral may be transferred or reallocated to support another Derivative Product order or position only in three instances:

  • following cancellation of an order or voluntary closing of a position in a Derivative Product, the Margin Collateral that had supported the order or position may be transferred or reallocated.
  • following reduction in the size of an open order or open position in a Derivative Product, the remaining Margin Collateral that exceeds VISIION's requirements for the continuing open order or open position may be transferred or reallocated; and
  • VISIION exercises its discretion to permit the leverage applicable to an open order or open position to be changed and that change reduces the Margin Collateral requires, the excess Margin Collateral may be transferred or reallocated.

3.6. Users understand and agree that VISIION is not required to treat or credit any Financial Assets within your available Wallet balance as Margin Collateral satisfying minimum initial and minimum maintenance margin requirements for your open orders and open positions in Derivative Products.

3.7. You acknowledge and agree that you shall not be permitted to execute an order for a Derivative Product unless the available Margin Collateral in your Wallet at such time is sufficient to satisfy the amount of (i) the minimum initial margin required by VISIION for that order;(ii) any other collateral that VISIION requires to support that order and (iii) margin requirements for all of your other Derivative Product positions. When you place an order to trade a Derivative Product, you agree that VISIION is authorized to and will allocate enough of the available Margin Collateral to satisfy the Margin Collateral requirements for such open order.

3.8. Before finalizing an Order, Users are advised to thoroughly review all transaction details. Users explicitly recognize and accept that it is their sole duty to verify the authenticity and correctness of an Order, which includes verifying the recipient's information for any assets. VISIION cannot be held responsible for any repercussions that may arise as a result of Users failing to provide valid and accurate information when initiating an Order.

3.9. Your orders shall be subject to trading limits that we may establish, revise, and communicate to you from time to time and the trading limits will be under our and regulatory discretions.

3.10. VISIION has the authority to close a user's account or temporarily stop them from using its Platform or its Services without giving prior notice. VISIION can reject any trading orders submitted by a user and may set restrictions on the amount a user can trade on VISIION's Platform. These actions can be taken by VISIION at time when the User has violated the applicable rules and regulations.

3.11. You can access the VISIION Platform 24 hours a day, 7 days a week, 365 days a year, unless there's scheduled maintenance or upgrades happening, or if the platform experiences an unexpected interruption or outage beyond its control and we will hold no responsible for the hinderance pf your VISIION platform access in such occasions.

3.12. VISIION at its sole discretion and without prior notice, close a user's account or suspend the User's access or use of the Platform or the Services, refuse any Order submitted or impose limits on trading amount on the Platform, if VISIION deems that a User may have contravened the applicable rules and regulations.

3.13. You understand and acknowledge that it may not always be possible to cancel or modify an order, even if you try to do so before it's matched or executed. We are not responsible for guaranteeing order modifications or cancellations. If an order cannot be canceled or modified, you agree that you are bound by the original order's execution. Additionally, you recognize that attempting to modify or cancel and replace an order could lead to over- execution or duplicate orders, and you are responsible for all such executions.

3.14. To place an Order on VISIION Platform, a User must have enough Assets in their account to cover the Order and associated Fees. If there are not enough Assets in the account to complete an Order on the Platform, the User won't be able to proceed with the Order.

3.15. The Users acknowledge and accept the following:

3.15.1. When they make a trade on the VISIION Platform, they are instructing VISIION to execute the Trade at the quoted buy or sell price displayed on the platform when they placed the Order. Users also agree to pay any associated Fees. The price of a Trade is determined by mutual agreement between the User and the other party involved in the Trade. VISIION is not a participant in these Trades and is not responsible for setting or negotiating Trade prices. Users cannot hold VISIION accountable for such Trades, and it does not guarantee the completion of any attempted buy or sell of Digital Assets.

3.15.2. Trades on VISIION follow a price-time priority system.

3.15.3. Users are subject to the same price-time priority as other Platform Users.

3.15.4. Orders made through the API are treated with the same price-time priority as Orders placed directly on the Plat VISIION Platform.

3.15.5. Completed Orders are settled immediately by adjusting the balances of the relevant Assets in both parties' Accounts. Users will receive instant notifications of their filled Orders through VISIION Platform, email, or any other agreed-upon communication method. These filled Orders can also be viewed in a user's trading history.

3.15.6. APIs allow Users to access live prices for integration into their own user interface, as well as to execute Trades or place Orders available on the VISIION Platform.

4. FORCED CLOSURE OF POSITIONS AND MARGIN COLLATERAL

4.1.1. The User authorizes VISIION to close any of your open orders and liquidate or terminate your open positions in a Derivative Product and limit or suspend your trading in that Derivative Product in the event VISIION, in its sole judgment and discretion, determines that the Margin Collateral supporting those open orders and open positions fails to satisfy VISIION's minimum margin requirements for the open orders or the open position, or that VISIION determines that market conditions, market disruption, or your breach of these Terms and conditions require closure and liquidation of such open order or open position.

4.1.2. The User further agree to bear and assume the risk of all financial and other Losses resulting from the liquidation or termination of your Derivative Product positions.

4.1.3. The User acknowledges and agrees that the user retains responsibility for satisfying the availability limits, initial and maintenance collateral requirements, and other collateral requirements for the user's Derivative Product positions, without any obligation of VISIION to provide notice.

4.1.4. The circumstances that may lead to the forced closure of your open orders and the liquidation or termination of your open positions in a Derivative Product include the following:

4.1.5. Failure to meet minimum Margin requirements: The User acknowledge and agree that VISIION may automatically close your open orders and liquidate or terminate your open position in a Derivative Product without prior notice if VISIION determines, at its sole discretion, that the Margin Collateral supporting your open orders and position is insufficient to meet the minimum margin and other collateral requirements set by VISIION. If User have a Derivative Cross-Margining Wallet, multiple positions and open orders may be closed if the security Value of your Security for Available Margin Collateral is insufficient.

4.1.6. Non-Compliance with Terms and Conditions: The User understands that if you breach or fail to comply with any obligations and requirements outlined in these Terms and Conditions, VISIION has the right and authority to automatically close your open orders and liquidate or terminate your open position in a Derivative Product without prior notice.

5. LICENSE TO USE

5.1. Subject to the terms and conditions provided herein, VISIION shall grant you a non-exclusive, non-transferable, revocable license to use the Platform and Services in the form as may exist from time to time.

5.2. You may obtain at your own expense the licenses, permits, and the consents that may be necessary for the use of the Platform and the Services.

6. PROHIBITED USE

6.1. You are required to use the Website or Platform strictly in accordance with these Terms, and solely for your own Account or internal business purposes. You are not allowed to sell, lease, or grant access to the Website or Platform to any third party, or use the Website or Platform on behalf of any third party as a service provider.

6.2. You are not allowed to use the Website and Platform to conceal the origin or nature of illicit proceeds or to facilitate any breach of applicable laws.

6.3. You are not allowed to use the Website or any Derivative Services if such usage violates any applicable Laws, including Anti-Money Laundering (AML) Laws, Counter-Terrorist Financing (CTF) Laws, Anti-Corruption Laws, or Economic Sanctions Laws, which could result in penalties, sanctions, or legal exposure for VISIION due to the Derivative Services provided to you or your Derivative Account, including your Derivative Wallet or Derivative Cross-Margining Wallet, under these Derivative Terms and Conditions.

6.4. You must refrain from using the Site or Platform, providing any information or content, or engaging in any conduct that falls under the following:

6.4.1. Engaging in unlawful, illegal, or unauthorized activities.

6.4.2. Employ the Website or any Services to circumvent, evade, avoid, or violate any applicable Laws, including AML Laws, CTF Laws, Anti-Corruption Laws, or Economic Sanctions Laws.

6.4.3. Use the Website or any Services to evade taxes in any jurisdiction applicable to you or the Website.

6.4.4. Trade or transact on the Website using assets that have not been legally obtained by you or that do not belong to you.

6.4.5. Post, submit, publish, display, or transmit any User submission that violates the Website terms of service or infringes upon the rights of any individual, including their intellectual property rights.

6.4.6. Conduct activities on the Website that are detrimental to VISIION, other Website users, or any other individuals or entities.

6.4.7. Engage in activities that disrupt the fair execution of transactions or create a false impression of market depth or interest on the Derivative Website.

6.4.8. Provide false or misleading information about yourself when registering your Derivative Account, such as impersonating another person or misrepresenting your affiliation.

6.4.9. Omit or falsify information requested by VISIION or its Associates, including during Website registration or while administering any Services to you.

6.4.10. Attempt to harm VISIION, its Associates, or any individuals through your access to the Website or any Services. This includes posting, submitting, publishing, displaying, or transmitting defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable User submissions.

6.4.11. Making defamatory statements about any other individual.

6.4.12. Sharing obscene, sexually explicit, or offensive content.

6.4.13. Advertising or promoting other products or businesses.

6.4.14. Engaging in behavior is likely to harass, upset, embarrass, alarm, or annoy any other individual.

6.4.15. Disrupting the Platform's operation in any way or promoting discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.

6.4.16. Violating someone else's copyright, trademark, trade secret, or other proprietary rights.

6.4.17. Taking actions that limit or prevent others from using the Platform, such as hacking or defacing any part of the Platform.

6.4.18. Damaging or altering the functionality or appearance of the Platform.

6.4.19. Creating frames or mirrors of any part of the Platform without our prior written permission.

6.4.20. Using robots, spiders, site search/retrieval applications, or other automatic or manual processes to download, retrieve, index, data mine, scrape, harvest, or otherwise reproduce or bypass the navigational structure or presentation of the Platform or its content.

6.4.21. Collecting information about other Users without their explicit consent.

6.4.22. Sending unsolicited or unauthorized advertisements, spam, or chain letters to other Platform Users.

6.4.23. Opening multiple accounts without written permission from the VISIION.

6.4.24. Conducting frequent, intensive trading with or without unauthorized software or trading tools.

6.4.25. Transmitting content containing software viruses or other harmful computer code, files, or programs.

6.4.26. Advocating, promoting, or assisting in violence or unlawful activities.

7. REPRESENTATION AND WARRANTIES BY USERS

7.1. User makes the following representations and warranties to VISIION on the date when you accept or are deemed to accept these Derivative Terms and Conditions, and the Services. These representations and warranties are made about the facts and circumstances that exist on each respective date, which are as follows:

7.2. If you are an individual user, you are at least 18 years of age and possess the legal capacity to enter into contracts as per applicable Laws.

7.3. If you are registering for the Website on behalf of a legal entity, that entity is validly established and legally existent under the laws of its jurisdiction, and You, as well as any individuals utilizing the Services on behalf of the entity, are duly authorized by the entity to act on its behalf.

7.4. You comprehend the risks associated with using the Website, and You are not prohibited by applicable Laws from using the Website or acting on behalf of a person who is prohibited or restricted from using the Website. You have also had the opportunity to seek professional advice regarding these Derivative Terms and Conditions and the Services, including legal, accounting, and tax advice.

7.5. You will not utilize the Website or Services to obscure the origin or nature of illegal funds or further any violation of AML Laws or CTF Laws. Nor will you engage in transactions involving unlawful Virtual/ Digital Assets, Fiat, property, funds, or proceeds.

7.6. You will solely trade or transact on the Website using legally obtained Fiat, funds, or Virtual/Digital Assets to which you have clear and marketable title, and that are free from any liens or encumbrances inconsistent with such transactions, except as allowed or contemplated by these terms.

7.7. You are in compliance with all Laws related to the derivative services, including AML Laws, CTF Laws, Anti-Corruption Laws, Economic Sanctions Laws, Tax Information Exchange Laws, or other tax Laws, and will continue to comply with them at your own expense.

7.8. You agree to adhere to all tax and information reporting requirements imposed by AML Laws, CTF Laws, Anti-Corruption Laws, Economic Sanctions Laws, Tax Information Exchange Laws, or other tax Laws, as determined by VISIION.

7.9. You and your Affiliates will not engage in transactions or use assets or property subject to the Derivative Services on behalf of a Prohibited Person or within a Prohibited Jurisdiction. You will also not violate Economic Sanctions Laws.

7.10. You, your Affiliates, or your shareholders, directors, officers, employees, agents, or partners are not and do not have any association with a sanctioned Person, nor are you conducting any transaction that may result in becoming a sanctioned Person. You are not residing in or conducting transactions from a Prohibited Jurisdiction, nor are you a Government or Government Official of such a jurisdiction.

7.11. You or your Affiliates have not offered, promised, given, or authorized any unlawful payment or value, including Virtual/ Digital Assets Fiat, to a Government Official or private sector individual in violation of Anti-Corruption Laws.

7.12. You will not provide false or misleading information to VISIION at any time, including during registration or due diligence processes, and will promptly update any information that becomes outdated or incorrect, including information regarding beneficial ownership.

7.13. You will implement reasonable cybersecurity measures to protect your Account from hacking or malicious actions, ensuring the integrity and security of your account.

7.14. You will not introduce or transmit any computer viruses into the Site, including the Website or VISIION's computer systems.

7.15. You understand that the assets reflected in your Derivative Wallet are not segregated but are recorded in VISIION books and records.

7.16. You acknowledge that trading or instructions received through your credentials are considered valid and binding, even if they result from an error made by you or any other source. VISIION may act upon these instructions without assuming any liability.

7.17. You agree to report all income from your activities on the Website as required by applicable Laws and pay all related taxes.

7.18. You own or control the rights to your User Submissions and have the right to grant the licenses mentioned above to VISIION, its Affiliates, and their licensees, successors, and assigns.

7.19. The use of your User Submissions by VISIION and its Associates does not infringe on the rights of any other person or violate Laws and regulations.

7.20. All your User Submissions are in compliance with the Website terms.

7.21. You will not advertise, promote, or offer to transact in any Derivative Product or other derivative product to any Person.

7.22. You will promptly inform VISIION if you become aware that any of the representations or warranties provided above are no longer correct or have become incorrect.

8. SUSPENSION OF SERVICES

8.1. The User understands and agrees that VISIION has the sole discretion to suspend either all or part of the Services, or the User's access to all or part of the Services, under the following circumstances:

8.1.1. When VISIION believes, at its sole discretion, that the User may have violated these Terms.

8.1.2. When VISIION, at its sole discretion, determines that the proper functioning of the VISIION Platform is at risk.

8.2. The proper functioning of the VISIION Platform is considered at risk under the following circumstances:

8.2.1. If a computer or telecommunications network malfunctions due to an accident.

8.2.2. In the event of a Force Majeure Event affecting the provision of the Services.

8.2.3. When there is an attempted or actual malicious attack on VISIION's assets, the User's Assets, or the VISIION Platform, potentially resulting in the theft or loss of these assets.

8.2.4. If an event disrupts the proper functioning of critical systems essential for the VISIION's Platform, including the pricing system or any other system required for offering the Services.

8.2.5. If VISIION suspects unauthorized usage of its Platform or a breach of these Terms or Applicable Laws and Regulations.

8.2.6. When VISIION, at its sole discretion, deems it necessary to conduct investigations to comply with its obligations under Applicable Laws and Regulations or to ensure the smooth operation of the VISIION Platform.

8.2.7. If VISIION decides to discontinue support for a Digital Asset due to the outcomes of a Hard Fork causing a chain split or changes to a Digital Asset.

8.2.8. When VISIION determines that the provision of the Services cannot continue due to changes in Applicable Laws and Regulations, social conditions, or factors beyond VISIION's control. This includes situations where a Digital Asset is no longer recognized as an "Acceptable Digital Asset" by Competent Authorities.

8.2.9. If, for any other reason, VISIION believes, at its sole discretion, that a suspension is necessary.

9. FORKS & DISTRIBUTION

9.1. Due to the decentralized and open-source nature of Virtual Assets, unexpected changes, known as "Forks," can occur, impacting the usability, functions, compatibility, value, or even the name of a Virtual Asset. Forks may lead to the dominance of one version (Dominant Virtual Asset) and the partial or total abandonment or loss of value of other versions (Non- Dominant Virtual Asset).

9.2. VISIION is not obligated to support a Fork of a Virtual Asset held in your account, regardless of its dominance or value post-Fork. Forks are frequent, contentious, and unpredictable, making consistent support on the platform challenging. Users should assume that the platform will not support any Fork when trading or holding Virtual Assets.

9.3. If VISIION, at its sole discretion, chooses to support a Fork, it may announce it through its site or notify customers, with no liability for resulting losses. If VISIION decides not to support a Fork, including Dominant or Non-Dominant Virtual Assets, it assumes no responsibility or liability for any related losses.

9.4. The platform generally does not support Virtual Asset Distributions, such as Airdrops or Staking Rewards, unless VISIION, at its discretion, decides otherwise. VISIION may suspend activities related to a Virtual Asset during a Fork, termed "Downtime," until it determines, at its sole discretion, that normal functionality can be restored. VISIION bears no liability for losses during Downtime due to the inability to trade or transfer Virtual Assets.

10. CUSTODY OF FUNDS AND ASSETS

10.1. You can add funds and Virtual Assets to your account from any of the bank accounts or external wallets registered on the Platform. We might ask you to confirm that you have control over the bank account or external Wallet you're using to transfer Assets to your account. You have the option to withdraw or transfer Assets from your account to a bank account or external wallet under your control that's registered with VISIION. Please note that VISIION has the sole discretion to decide whether to accept and register any bank account or external wallet you specify on the Platform. It's your responsibility to ensure that transfers to and from your bank account or external Wallet are done correctly and promptly and VISIION will not hold any responsibility for this specific event.

10.2. You acknowledge and agree that:

10.2.1. You are solely responsible for your use of your bank account and External Wallet, and any transfers of Assets from your bank account and External Wallet and your Account, and that we shall not be liable for any losses resulting from the delay in receiving Assets into your Account if such delay is not due to our gross negligence, fault or fraud;

10.2.2. You shall be responsible for ensuring that any inbound and outbound transfer of Assets is handled in compliance with our requirements, any relevant third party, or External Wallet provider requirements;

10.2.3. You shall be responsible for ensuring that the address to which any Virtual Assets are to be transferred is properly formatted and suitable for the type of Virtual Asset being transferred. We will not be able to reverse any transfer and shall not have any responsibility or liability if you instruct us to transfer a Virtual Asset to an address that is incorrect, improperly formatted, erroneous or intended for a different type of Virtual Asset; and

10.2.4. You shall be responsible for ensuring that there are no errors in any of the transfer instructions.

10.2.5. If you fail to comply with any requirements of Clause 2, the transferred Virtual Assets may be permanently lost. The timing for completing any transfer will depend on the acts of third parties that are outside of our control, and we make no guarantee regarding the amount of time it may take to complete any such transfer.

10.2.6. You acknowledge and agree that we may impose limits on the amount of any inbound or outbound transfers, or suspend the ability to transfer assets into or out of your Account, or terminate this User Agreement:

  • a) In order to comply with Applicable Laws and Regulations;
  • b) In order to comply with an order from law enforcement or other governmental authority;
  • c) Otherwise, at our discretion for the security of the Platform or other appropriate reasons.

11. SECURITY

11.1. VISIION may use authentication or verification technologies, services, or measures as it deems desirable or appropriate. There can be no assurance that such authentication technologies, services, or measures will be completely secure, adequate, or successful to prevent authorized access to or use of the Platform.

11.2. Although we implement reasonable security measures to safeguard the Platform and the confidentiality of your Personal Information in compliance with Applicable Laws and Regulations, we cannot assure the security of all transmissions or any network or system where your Personal Information, account, or transaction data is stored or processed. If required by law, we will inform you if there's unauthorized access, use, or disclosure of your Personal Information that comes to our attention. If you receive such notification, it's your responsibility to follow the instructions provided in the notice, which may include promptly updating your User Credentials and taking other measures to prevent unauthorized access to your account or Personal Information.

12. RISK DISCLOSURE

12.1. This cause is designed to inform the Users about the potential risk associated with trading Digital Assets and utilizing other Services offered by VISIION. Before applying to open an Account and making Trades, Applicants and Users should carefully read and consider this Risk Statement.

12.2. Please note that this Clause 12 does not aim to provide an exhaustive or detailed list of all risks linked to trading or holding Digital Assets or using VISIION's Services. It offers a general overview of these risks, and Users are strongly encouraged to make informed decisions. Users should evaluate whether trading in Digital Assets aligns with their experience, goals, financial capabilities, and specific needs.

12.3. By opening an Account and engaging in trades, Users are considered to have reviewed, comprehended, and accepted the risks associated with VISIION's Services.

12.4. The Digital Assets market is relatively new and continually evolving, making it challenging to fully grasp all the risks involved. Consequently, VISIION may periodically update this Risk Statement to include additional risks associated with digital asset transactions. VISIION, however, does not assume any liability if a specific risk is not mentioned in this statement.

12.5. Users are responsible for staying informed about the latest updates to the Risk Statement published by VISIION.

13. MARKET MAKERS

13.1. VISIION shall collaborate with one or more Market Makers which shall affiliate with us and serve as a liquidity provider on our Platform.

13.2. It is important for you to note that the rates and terms that are offered by the Market Makers are more favorable that what's being offered to you because of the special services they provide.

14. MATERIALS AND INFORMATION

14.1. By using the Platform, the Users acknowledge that:

14.1.1. VISIION shall not under any obligation to provide any material or information about any of its products and /or services, at User's request.

14.1.2. If any material is shared with the Users, it is shared and provided for the Users only and is not to be distributed without written consent of VISIION.

14.1.3. The User acknowledges that neither VISIION nor the Platform shall be providing any investment advice. The Users further acknowledge that none of the materials we provide or made available on the Platform constitutes any sort of recommendation or solicitation that may encourage you to enter a particular transaction or shall make you believe that any particular transaction is suitable and appropriate for you.

14.1.4. The Users acknowledge that VISIION has no duty or obligation to verify, rectify, supplement, or update any content, including but not limited to market data, price quotes, news, and research, displayed on the Platform. VISIION does not guarantee the accuracy, completeness, or timely updating of this content.

14.1.5. The Users are advised that before making investment decisions, they should conduct further research, analysis, or seek advice from an investment advisor. Decision based on these materials is entirely at your own risk.

14.1.6. The Users shall at its own risk make reliance on materials provided on the Platform. VISIION shall have no obligation to inform you of technical difficulties experienced by you while accessing the Platform.

15. SERVICE AND OTHER NOTIFICATIONS

15.1. The Users agree to accept notifications regarding the App, Platform, your account, and terms through service notifications. You agree that service notifications will serve as valid notice, replacing the need for written, mailed, or other forms of notice as required by Applicable law.

15.2. It is the sole responsibility of the Users to provide valid email Id and phone number in order to receive regular notification from Us. You shall be responsible to immediately report any unauthorized use or access of the Platform.

15.3. VISIION provides no guarantee of the information provided through the service notifications are accurate, correct, or complete.

16. ACCOUNT MANAGEMENT

16.1. To open a VISIION account, you need to meet all of the following conditions:

16.1.1. You have read the Terms in full and have understood that you will be buying and selling trades subject to the Terms.

16.1.2. You have read our Security and privacy statement and are aware of how we process information.

16.1.3. You are acting only for your own benefit and not for any other person or on behalf of anyone else.

16.1.4. You are over 18 years old.

16.1.5. You are not a resident of a Restricted Country.

17. ACCOUNT CLOSURE

17.1. You can close your account yourself or ask us to close it for you. However, you can only close your account and withdraw any pending funds if you do not have any open trade positions and have complied with the requested Know Your Customer procedures.

17.2. If you do not comply with these Terms, we may close your account and, where appropriate, withhold any funds accumulated in it.

18. WALLET AND ACCOUNT MANAGEMENT

18.1. You may transfer funds and Virtual Assets to your Account from any of the bank accounts or External Wallets registered on the Platform. We may require you to verify that you control the bank account or External Wallet from which you transfer Assets to your Account. You may withdraw or transfer Assets from your Account, into a bank account or an External Wallet, as the case may be, which is under your control and registered with VISIION. You understand and agree that VISIION shall have sole discretion to accept to register on the Platform any such bank account or External Wallet you specify. It is your responsibility to ensure the timely and proper transfer to and from your bank account or External Wallet.

18.2. You acknowledge and agree that:

18.2.1. You are solely responsible for your use of your bank account and External Wallet, and any transfers of Assets from your bank account and External Wallet and your Account, and that we shall not be liable for any losses resulting from the delay in receiving Assets into your Account if such delay is not due to our gross negligence, fault or fraud.

18.2.2. You shall be responsible for ensuring that any inbound and outbound transfer of Assets is handled in compliance with our requirements, any relevant third party, or External Wallet provider requirements.

18.3. You shall be responsible for ensuring that the address to which any Virtual Assets are to be transferred is properly formatted and suitable for the type of Virtual Asset being transferred. We will not be able to reverse any transfer and shall not have any responsibility or liability if you instruct us to transfer a Virtual Asset to an address that is incorrect, improperly formatted, erroneous or intended for a different type of Virtual Asset; and

18.4. You shall be responsible for ensuring that there are no errors in any of the transfer instructions.

18.5. If you fail to comply with any requirements of Clause 18.2., the transferred Virtual Assets may be permanently lost. The timing for completing any transfer will depend on the acts of third parties that are outside of our control, and we make no guarantee regarding the amount of time it may take to complete any such transfer.

18.6. You acknowledge and agree that we may impose limits on the amount of any inbound or outbound transfers, or suspend the ability to transfer assets into or out of your Account, or terminate this User Agreement:

18.6.1. In order to comply with Applicable Laws and Regulations.

18.6.2. In order to comply with an order from law enforcement or other governmental authority.

18.6.3. Otherwise, at our discretion for the security of the Platform or other appropriate reasons.

19. RECONCILIATION

19.1. VISIION shall conduct a daily reconciliation of the bank accounts and the Virtual Asset wallets in which it holds Assets on your behalf.

20. ACCOUNT STATEMENTS

20.1. VISIION shall provide near-real-time information in relation to your Account through the Platform and shall send you a statement of your Account at least on a monthly basis. The statement of your Account shall, at a minimum, reflect the amount of funds, expressed in the currency in which they are held, and a list of Virtual Assets, which you hold in such Account. VISIION shall also provide you with the details of Trades you enter on the Market, and any transfers of Assets into or out of your Account.

21. SET-OFF

21.1. You hereby expressly and irrevocably agree that:

21.1.1. We may set off any amounts due to us under this User Agreement, including any Fees, against any funds or Virtual Assets we hold on your behalf.

21.1.2. We shall first set-off against any such funds which are to the credit of your Account, and if these are not sufficient to cover the amount owed to us, we shall sell the appropriate amount of Virtual Assets at Market price to pay the balance of such amounts you owe to us.

22. UNCLAIMED OR ABANDONED PROPERTY

22.1. If VISIION holds Assets in your Account and we cannot contact you for an extended period of no less than 12 months, have no record of your use of the Services for an extended period ("Unclaimed or Abandoned Assets"), Applicable Laws may require us to report such Unclaimed or Abandoned Assets as unclaimed property to the relevant jurisdiction. In this case, VISIION will attempt to locate you using the information in our records related to your Account. If VISIION cannot locate you, we may be required to deliver any Unclaimed or Abandoned Assets to the relevant jurisdiction as unclaimed property. VISIION reserves the right to deduct dormancy fees or other administrative charges from such Unclaimed or Abandoned Assets, as permitted by Applicable Law.

22.2. If VISIION possesses Unclaimed or Abandoned Assets in your account, and attempts to contact you prove unsuccessful, or there is no record of your use of the services over an extended period, or your account is closed, and relevant laws do not require reporting such assets as unclaimed property, you acknowledge and consent to the possibility of your account being transferred to VISIION or one of its affiliates as the trustee for these Unclaimed or Abandoned Assets. VISIION or the designated affiliate will act as a trustee, holding the assets on your behalf. Upon your request, they will repay you the Unclaimed or Abandoned Assets, subject to your payment of any dormancy fees or administrative charges that the trustee may deduct from the assets. If no such demand is made, the trustee may choose to deposit the Unclaimed or Abandoned Assets with the court in the applicable jurisdiction in accordance with relevant laws.

23. ASSIGNMENT AND SUBCONTRACTING

23.1. You cannot transfer, assign, or subcontract any of your rights or obligations under these Terms, or delegate the performance of your obligations under these Terms, without prior written consent from VISIION Any attempt to transfer, assign, or subcontract without our consent will be invalid.

23.2. VISIION has the right to transfer, assign, or subcontract any of its rights or obligations under these Terms to another party or delegate the performance of any of its obligations under these Terms (including the provision of Services), without your consent, and you hereby give your consent to such transfer, assignment, novation, or subcontracting. You agree to take all necessary actions, including executing documents, and providing assistance as required by VISIION to ensure the validity and enforceability of such transfer, assignment, novation, or subcontracting. If you disagree with such transfer, assignment, novation, or subcontracting, you can choose to stop using our Services and terminate these Terms by contacting us and requesting the closure of your Account.

24. LIMITATION OF LIABILITY AND INDEMNITIES

24.1. Notwithstanding anything to the contrary in these Terms and Conditions, in the event that we are determined to be liable to you for any cause, you expressly agree that in entering into these Terms and Conditions, our aggregate liability, for any damages, losses under all causes of action, will not exceed USD value 100 or the exact quantum of loss whichever is lower.

24.2. Neither we nor our affiliates, third party providers or respective directors, managers, officers, shareholders, employees or agents make any warranty with respect to and no such party shall have any liability to you for:

24.2.1. The accuracy, adequacy, timeliness, completeness, reliability, performance or continued availability of the Platform and/or Services; or

24.2.2. Delays, omissions, or interruptions to the Platform and/or Services;

We have not verified, monitored, reviewed, or authenticated in whole or in part the information and materials which compromise the platform and the Services which may include inaccuracies or typographical or other errors.

24.2.3. Except as otherwise required by Applicable law, we will not be liable for any loss or damage caused to your information technology, devices, computer programs, Platform, data, or other proprietary material arising in connection with your use of this Platform and/or the Services.

24.3. You are fully able and competent to enter into the terms, conditions, obligations, affirmations representations and all the warranties set forth herein and further abide and comply with these terms and conditions.

24.4. You are of the legal age of majority in your jurisdiction as is required to access the Platform and Services and enter arrangements as provided in the Services. You further warrant that you are otherwise legally permitted to use the Services in your jurisdiction and interact with the Platform and Services in any way.

24.5. You confirm and assure that you are entirely and personally responsible for settling all transactions made through your account with us. It is your duty to ensure that you have sole control over your account access and that no minors can access the VISIION website using your account. You bear complete responsibility for all positions traded in your account and for any credit card or other transactions carried out through the VISIION website on your behalf. You agree to compensate us for any and all costs and losses, regardless of their nature, that we may suffer directly or indirectly due to your failure to fulfill or settle any such transaction conducted via the VISIION website.

24.6. You are responsible for compensating us for any costs and losses that we might incur or bear as a result of your failure to comply with any of your obligations mentioned in these Terms. This includes indemnifying us against any costs that arise through the enforcement of any of our rights under the Terms.

24.7. We reserve the right to refuse or cancel any of our Services, refuse or reverse any of your trades, and charge you the deposit and/or withdrawal Fees for any reason, including but not limited to the following:

24.7.1. Any instance where we believe that your activity on VISIION may be illegal in your country or state or that it may breach any laws, regulations, instruments, ordinances, or rules.

24.7.2. Any instance where we believe that your activity on VISIION may breach any laws, regulations, instruments, ordinances, or rules that govern the operation of any exchange, financial market, or financial regulatory environment or where you make

24.7.3. any false or misleading representation to us breaching.

24.7.4. Any instance where legal authorities, law enforcement agencies, or regulators approach or contact us with a request preventing us from offering our Services to you.

24.7.5. Any instance where we may suffer any pecuniary, fiscal, or regulatory disadvantage because of your activities on VISIION.

24.7.6. We have the right to prohibit you from trading on VISIION and/or reverse any affected trades if, at our sole discretion, we determine that you are in possession of insider information, or have insider knowledge, relating to any financial market, issuer, or instrument, or have attempted to manipulate the market for any financial instrument.

25. INTELLECTUAL PROPERTY RIGHTS

25.1. We own all intellectual property rights in, and to all, VISIION businesses, information, technology, and other proprietary materials, including but not limited to the VISIION website and products (including but not limited to all software, concepts, methodologies, techniques, models, templates, algorithms, trade secrets, processes, information, materials, source codes, structure, sequence, organization, images, text, graphics, illustrations, data, and know-how contained therein, all modifications, alterations, updates, upgrades, and enhancements thereof, all documentation and manuals related thereto, and all other aspects of such technology or product) or their derivatives, the name of VISIION or any of its derivatives, and any other names and logos and all related product and service names, design marks and slogans, trademarks (whether registered or not) which we own or control and make available to you through our website or otherwise. 25.2. Copying and distributing such materials for non-commercial purposes are allowed only with our express written permission on a limited basis, provided that each copy of the material remains intact.

26. KNOW YOUR CUSTOMER

26.1. We may, at our sole discretion, or as otherwise required by law, conduct appropriate Know Your Customer (KYC) procedures, for which you will need to register in full and provide us with specified documents to prove your identity, address, and financial means.

26.2. During registration, you may need to provide your full name, address, date of birth, place of birth, country of residence, contact number, and email address.

26.3. Depending on Applicable Laws and Regulations that govern your account, the KYC documentation that we shall request may include, but may not be limited to, the following:

26.3.1. Proof of identity: a clear colored copy of an identity document, such as your national ID card, passport, or driving license.

26.3.2. Proof of address: a formal document that contains your address, for example, your bank statement, tenancy agreement, or a utility bill (mobile phone bills are not accepted

27. MONEY LAUNDERING

27.1.1. Like using the funds that originate from criminal activity.

27.1.2. Carrying out any suspicious transactions. Any such suspicious transaction shall be reported to the relevant authorities.

27.2. VISIION has the right to suspend, block, or cancel any account through which suspected money laundering has taken place.

27.3. VISIION has the right to check all transactions to prevent money laundering. To comply with our anti-money laundering policy, User shall make sure to follow the instructions below:

27.3.1. You must complete the account opening form and provide all requested details to establish your identity, such as valid identification, address, email address, and personal telephone number.

27.3.2. You must register personally.

27.3.3. You must give us all the necessary details so that we can process any withdrawal requests to the payment method of your choice

27.3.4. Withdrawals may only be paid to the account holder.

27.3.5. You shall not hold or pool third-party funds in your VISIION account.

27.3.6. You shall not sell, transfer, and/or give your account to any other person.

27.3.7. You shall not acquire any VISIION account from any other person.

28. AML AND CFT PROCEDURES

28.1. Accordingly, VISIION insists on a comprehensive and thorough user due diligence process and ongoing analysis and reporting.

28.2. By accepting these Terms and Conditions, you are providing an affirmative certification that you do not fall under the category of a prohibited person and that you are not using an Account for the benefit of a prohibited person. You also commit to promptly furnish all requested information that is essential for meeting the due diligence requirements and obligations in accordance with relevant Laws and the compliance policies or procedures of BITDLTA or any of its Affiliates.

28.3. Our procedures to prevent money laundering ("AML") and counter terrorist financing ("CTF") are in line with all relevant rules and regulations concerning AML and CTF. These standards are designed to stop the Platform from being used for money laundering or terrorist financing. We prioritize compliance and are dedicated to implementing measures that prevent fraudulent transactions, report suspicious activities, and actively work to prevent money laundering, terrorist financing, and other financial crimes.

29. FRAUD

29.1. VISIION may use the personal information you provide for anti-fraud checks.

29.2. The personal information you provide may be shared with identity verification, credit reference, or fraud prevention agencies, which may maintain records of this information.

29.3. You are required to provide us with accurate, complete, and current information. Failure to do so may result in rejection of incomplete or inaccurate information or a request from us to correct or verify the details.

29.4. We may request additional information from you to verify your compliance with the Terms. Failure to comply with reasonable requests may lead to the closure, blocking, or suspension of your account.

29.5. Telephone conversations and electronic communications related to your use of VISIION may be recorded for anti-fraud purposes, as outlined in our Security and Privacy Policy.

30. TERMINATION

30.1. We reserve the right to terminate your services to use Our Website or Our Platform in cases where.

30.1.1. You breach any of the provisions of the Terms and Conditions or if We believe that You have carried out any transaction which is fraudulent, unauthorized, suspicious without limitation in relation to money laundering, terrorist financing, and /or any other illegal activities.

30.1.2. We have reasonable grounds to believe that the funds or proceeds including the digital assets in your account is associated with any criminal activities or are illegally possessed by you.

30.1.3. We believe that you have subjected to any insolvency or dissolution proceeding which may affect or cause threat to us.

30.1.4. You have violated the laws and regulations set by the regulatory authorities.

30.1.5. We have been directed by the government authorities to do so.

30.1.6. On any other grounds where we feel that we have no obligation to inform you the grounds for terminating or suspending your services or any part thereof from using the services on Our Website and Platform.

30.1.7. The Terms and Conditions may be terminated by notice:

30.1.7.1. At any time by either party, and such notice shall be effective on the date that the later of: (a) fifteen (15) calendar days following notice, and

30.1.7.2. (b) the latest settlement date in respect of any Transaction entered under these Terms and Conditions or any Trading Agreement.

THE LIST OF RESTRICTED JURISDICTIONS MAY CHANGE AND DIFFER ACCORDING TO CHANGES IN OUR POLICIES AND THE SERVICES WE OFFER TO A PARTICULAR JURISDICTION. IN THE EVENT OF SUCH CHANGE, WE MAY NOT PROVIDE NOTICE TO YOU. YOU ARE REQUIRED TO REFER TO THE LATEST INFORMATION ON THE PLATFORM OR THIS AGREEMENT TO BE INFORMED OF SUCH CHANGES.

33. DISPUTE RESOLUTION AND GOVERNING LAWS

33.1. You acknowledge and agree that, in case of any dispute, controversy, divergence or claim that can't be solved by Internal Resolution, including any dispute in connection with the existence, validity, interpretation, performance, breach or termination of this clause or any dispute concerning or arising out of this clause (collectively referred to as the "Dispute"), the Parties shall submit the Dispute to the Courts of Italy. 34. CONFLICT OF INTEREST

34.1. If a conflict or potential Conflict of Interest exists, VISIION will, where possible, manage that interest by:

34.1.1. segregating control of responsibility between Employees within VISIION.

34.1.2. setting out arrangements to restrict information flow between VISIION's different business activities.

34.1.3. written disclosure of the conflict in its User Agreement or in relation to a specific transaction; the disclosure must include sufficient detail, considering the nature of the User, to enable that User to take an informed decision with respect to the service in the context of which the Conflict of Interest arises; or

34.1.4. if none of the above is likely to be effective, by declining to act for one or more of the Users concerned.

35. TRANSFER OF BUSINESS

35.1. In the event of a transfer of the whole of part of the business of VISIION to any third party, the User consents to the transfer of the business relationship between the User and VISIION, which includes but is not limited to the User's:

35.1.1. Account;

35.1.2. Assets;

35.1.3. liabilities; and

35.1.4. Protected Data.

36. GENERAL PROVISIONS

36.1. The Terms and Conditions constitutes the entire agreement between You and Us and shall supersede any and all prior or contemporaneous agreements, representations, warranties and understandings either written or oral with respect to the subject matter of these terms and conditions.

36.2. YOU UNDERSTAND THAT SINCE THE DIGITAL ASSETS ARE VOLATILE IN NATURE, THEY CARRY SUBSTANTIAL RISKS AND THERE IS A POSSIBILITY THAT YOU MAY LOSE MONEY WHILE DEALING AND INVESTING IN THE DIGITAL ASSETS. BEFORE INVESTING OR DEALING IN THE DIGITAL ASSETS YOU SHOULD CONDUCT PROPER RESEARCH OF THE DIGITAL ASSETS ASEACH DIGITAL ASSET HAVE THEIR OWN UNIQUE FEATURES.

39.2. YOU UNDERSTAND THAT THE INFORMATION SHARED ON OUR WEBSITE AND OUR PLATFORM IS NOT AN INVESTMENT ADVICE. ANY INFORMATION THAT IS SHARED TO YOU THROUGH OUR WEBSITE OR EMAILS AND/OR THROUGH ANY OTHER MEANS OF COMMUNICATION IS FOR GENERAL INFORMATION PURPOSES ONLY. 40. COMPLAINT HANDLING

VISIION has established a Dispute Resolution and Complaint Handling Policy to address and resolve User grievances. All complaints should be directed to VISIION's Customer Support at https://visiion.io/en. Upon receipt, complaints are recorded, and complainants are asked to complete a form. VISIION commits to impartially investigate complaints, ensuring those involved in the complaint's subject aren't handling it. If another entity is deemed responsible, with the complainant's consent, the complaint may be referred to them. VISIION aims to resolve complaints within 30 days, informing the complainant of the outcome and any redress terms. If unsatisfied, complainants are advised of other resolution avenues, including external schemes, arbitration. All complaints are recorded in the Register of Complaints, maintained for a minimum of eight years.
